For years Mr Sheffield had been oblivious to his own feelings about Fran while everyone else could see he was in love with her. Niles on numerous attempts to get Maxwell to admit his love and marry her never heard the admission because he was distracted by CC, or Maxwell was confused about his emotions and not willing to commit to another woman after his first wife's death. By the 5th season even Fran (and of course the audience who knew it was coming) knew he was in love and just before this scene tries to get him to commit to her but then when he doesn't storms out the office. Then in that scene, Niles being so frustrated for so long by Maxwell's indecision and stalling grabs him and shakes sense into him, telling him to get on with it and marry her.
