I am a tailor , sole proprietorship small business owner. I work with fabric store 3 + years and now I am starting my business LLC . The fabric store owner hand me Non Compete Agreement to sign ( to not compete for selling fabric within 20 miles radius). Can refuse to sign the agreement?
Yes you can refuse to sign the agreement but the fabric store owner may sever your relationship which may be permissible depending on the circumstances
Hi Sam. A UPS mailbox or UPS store address cannot be used as the Registered Agent address when filing a corporation or LLC in any state even if the address doesn't have PO BOX. If any of your clients need Registered Agent services please let me know.
Hi! "Business address" in this video is in reference to the principal address. In Florida, there is a difference between the "principal" address and the "registered agent" address. There are businesses in Florida who use UPS store addresses as their principal address and it is accepted by the state. Thank you for your comment!

Hey. I applied for a job and they told me in order to get the details of the position i needed to sign a non compete. I refused and they asked me" why?" I told them im an applicant not an employee. Was i right? Its a contract job, so i think they wanted to sign so i wouldn't apply for the position directly. 😂 strange times?
Without knowing any more information, a non-compete for a job applicant seems overreaching and would likely not be enforced by a court. However, confidentiality agreements for job applicants may be appropriate in certain circumstances.
Not exaclty sure what an "intermediary" company would do in this context but buyouts can be creatively negotiated. There are ways contracts can be drafted so that a departing partner gets a payout that the remaining partner can afford.
Thank you! No DBAs do not offer liability protection whether it is owned by a LLC or if it is owned by an individual. However the LLC itself offers liability protection for the owner if it is operating correctly.
So why are they saying I have to file an amendment for $25 to correct the principal and mailing address. They say I HAVE to update my articles of organization. so confused!
I do not know why you are being told that. As of the recording, following the video should allow you to change the principal and mailing address without paying any fees. If you are changing the REGISTERED address, you will indeed need to update the articles of organization, mail it in and pay the fee.
This video only applies to registering a business in the state of Florida with the Division of Corporations (aka Sunbiz). The Department of Motor Vehicles is in charge of issuing driver's licenses and is a separate entity from the Division of Corporations. They have their own separate rules which we do not know.

Thank you! Yes a City license is also required for virtual business or business with no physical location. Usually for virtual businesses, you just need a city/county license where you physically operate your business. So if that is your home, one license may be sufficient even if you plan to serve customers in multiple locations.

Yes, you can change your business mailing and principle address online. However, you cannot change the registered address online. You would need to mail in an amendment to change the registered address.
Unfortunately, it is. The IRS is notoriously slow with processing SS4s that are mailed in. You should follow up periodically. After about 12 weeks, you should assume it's lost and try to either fax it or do it online for faster service.

Technically yes. If you google "[Your county] business license" you should be directed to a city government website which will give you more information on what applies to your business and applications to fill out.

Great question. Unfortunately, FL does not have a lot of options that offer to have all the addresses properly in one location. Your best bet is to google co-working spaces and asking if they will also serve as registered agent or accept legal notices addressed to your company. By legal definition a partnership requires at least 2 partners. So if one partner leaves, the partnership must dissolve and it is no longer a partnership.
*Rhetorical questions* What type of lawsuits does the policy cover? If the business is sued for $1M, how much will the policy pay out? What's your plan if the policy denies coverage? What's the deductible? How much will the premium rise if the business ever makes a claim? (according to the SBA 90% of small businesses will get sued at some point) Liability insurance offers protection but if you don't know answers to the above questions you don't know how much or (how little) protection you actually have.
Hello! This was great information, but I had a few questions. Do self-employed individuals where they are their only employee have to register as a business and get a license? For example, an artist/writer/gamemmaker selling their work online or doing digital contract work? If you sell through a website that provides you with a tax form do you have to register as a business as well, or does that tax form suffice?

You'll need to register with the Florida department of revenue, and obtain a business license in the city and county where your company is "doing business".

For this situation, your best course of action is to speak to a business attorney in Iowa to answer your question about liability because that is a matter of state law. As for the tax write offs, you need a CPA to advise you on that so they can analyze your entire financial profile and see how a LLC would fit for your situation. Hi! It would be enough only if in your example the registered agent service also appears on the state filings as an authorized representative of the company. This is the case in Florida. However, it is unlikely a registered agent service would be willing to serve as an authorized representative.
A company that is dissolved simply means that the state no longer authorizes it to conduct business. So a dissolved company on the state level could still theoretically operate and keep its assets, but it would be doing so without proper authorization. This would mean that the owners of a dissolved company will have little to no liability protection if they get sued. If the business is not operating but maintaining assets, it would depend on the circumstance but generally by law the owners of the company have a responsibility to dispose of those assets.
There's many factors that are weighed when evaluating the strength of a non-compete. That question is difficult to answer without actually seeing the agreement. With that said geographical boundaries and the nature of the company's business vs. the restriction of the non-compete itself are highly relevant. If you are looking for a complete evaluation you should speak to an attorney in the state that the non-compete applies to.
