Hi Chris first of all great video you are saving lots of lives doing it... as someone who is about to start a Start up I have a million question.. So I'm Canadian I reside in Canada however my co-founders and probably future investors will all be from USA.. my question to you is can I register my start up under Delaware also can I still do s corporation LLC as per your previous video or will I fall under the restriction since I'm Canadian and non US resident ?
Thank you for your kind words. I really appreciate them. Unfortunately, you cannot have an S Corporation in the US since you are a non-resident. Since you will have other founders and possibly additional investors, the most common options that remain available are to form an LLC (taxed as a partnership or a C Corporation) or to form a C Corporation. If you decide on a C Corp, the process of forming it is very similar to my video on LLCs. Thanks so much for your response, it ll be an AI online tool so it won't have a physical presence per se... I am trying to avoid taxes specially the start as I don't know if this will work out I'd feasible... Can you only help if it's California I thought you said Delaware is better as no taxes. I'm trying to keep everything to do the miminum as right now I have only a co-founder that's working with me and no investors and no product yet
@@Zarasafs Hi. Sorry, I did not see your reply to my reply. At the present moment I'm only taking on clients located or doing business in CA. However, even for CA clients (and foreigners), I generally recommend either Delaware or Wyoming. Many of my followers who are not US residents are forming LLCs in Wyoming. I have a video on how to form an LLC in WY too. Note that when you get to the EIN section, just select that you are a foreigner. Incfile will obtain the LLC's EIN for you, and you can use this to open a bank account for your LLC (if needed). Hope this helps, and best of luck! --Best regards, Chris

Hi. Delaware is in my top 3 (it's number 2). I like Wyoming as my number 1 for both asset-protection and low fees purposes. Hi: Great question. The Corporate Transparency Act requires the disclosure of member information to the Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN) only. The place to file the report is here: www.fincen.gov/boi (note that you have to wait until after January 1, 2024) Note that your information (LLC and member information) will not be disclosed to the public. It will only be accessible by the federal government, US banks and local law enforcement (with a warrant). Best regards, Chris

I prefer Delaware (or Wyoming - I have a video on that too) for LLCs for both asset protection and anonymity (if that's important) purposes. If you are doing business in Washington State, you can either form a DE LLC (or WY LLC) and qualify it to do business in Washington. Or, you can form an LLC in the state of Washington. The latter would cost you a little bit less on fees, but it may not provide the same level of asset protection (especially for single-member LLCs). You only need an agent for service of process though, which they will provide for free for the first year. If you want a virtual office in DE in addition to a registered agent, then they also have that service for $29/month. @@cjlawvideos thanks so much for your response, I won’t be going in file route because I have taken the help of a large law firm they just don’t offer any address and I’m in the process of doing incorporation. It’s pro bono so I don’t have to pay or anything but they require me to have an address, so basically I should like look for some service that provides registered agents correct and give them that address?
@@Zarasafs Hi. if you are located outside of DE, then you need a registered agent in DE for your DE LLC. Here is a link to the company I recommend because their fees are relatively low and they guarantee not to increase them over time: bit.ly/IncFileForLLC. Just go to "Services" and choose "Registered Agent" to learn more. If you want a "business address" that is different from your home address , then this same company will offer Virtual Office addresses where they will receive and scan your mail. Just go here: bit.ly/IncFileForLLC, select Services and choose Virtual Address.
