Hello mam. I don't know if you have got the concept by now or not, but as far as I know about it, Prospective effect means, there is an amendment in the rule, and then the action is performed by the director. Retrospective effect is, the mistake has already been done. The director has gone beyond the rule. After that there is an amendment to be done. So, when we study about articles of association, it can be amended even after the power has been exceeded. The mistake can be corrected. In memorandum, there is no such provision. If a mistake has been done, power has been exceeded, it cannot be corrected or ratified by making an amendment. If this was of any help to you, am happy.
