I really like SPAC because I think it's a better risk adverse option given the output and climate produced from the current administration. I also think SPAC is a more conservative approach which I like and act as a shield (even from a liquidity perspective) for both me as a owner as well as stakeholders/investors. It would also allow organic growth without unnessary drawbacks and it's really more tailored to my business structure and model as well as allows me to make changes where and when necessary. There is an art to real estate and although good real estate market conditions would be nice when investing, I don't need it to be perfect in order to move forward with investing in that sector.

Can you answer this question please. 1) If a company does an IPO , it can then turn around later and do a private placement. 2) Also will the shares of a private placement offering show up in the public float. 3) Can the shares of a private placement be sold on the retailer market and purchased through retail stock brokers?

@Financekid. Can an s-corp have private placement. Because s-corps are only allowed 100 shareholders.

i have an issue with SEC. They authorised my form D Regulation two years. Today they removed my Edgar access because they feel they granted my FORM D inappropriately. i'd like to know if there are any security laws they will compel them to grant back me Edgar access?

Can you please make a video on MTN's I have a client who has been offered to purchase an HSBC LONDON MTN at: Cost: 85% Coupon: 6% Trading: 105 Matures: 7-18-2020 It is currently loaded on Brussels EC(Euroclear) It has invoice with title page. Client has checked the ISIN and it is trading at 105. He is thinking about purchasing it and reselling it in secondary market to a pension fund at 95%.
