What is Material Nonpublic Information? 

From an investment perspective, information is "material" if the information will affect the price of an asset. Information is nonpublic if it has not been widely disseminated and made available to the public. If you are in possession of information that is both material and nonpublic (material nonpublic information) you are not legally allowed to trade securities associated with that information.
