All You Need to Know About Florida State's Lawsuit Against the ACC: Expansion to the Big 12, Big 10

In a groundbreaking move, the Florida State University (FSU) Board of Trustees unanimously decided to challenge the Atlantic Coast Conference's (ACC) Grant of Right (GOR) agreement, marking the initial step towards leaving the ACC. FSU Board of Trustees Chair Peter Collins asserted that the board had no alternative but to question the legitimacy of the ACC's GOR and its punitive withdrawal penalties.
Presenting FSU's legal arguments, outside counsel David Ashburn pointed to violations of Florida antitrust law, unenforceable penalties, breaches of contract and fiduciary duty, as well as violations of public policy and a fundamental failure of contractual purpose.
During the meeting, startling revelations came to light, exposing critical aspects of the ACC's contractual dynamics. Notably, uncertainties loom over the ACC's television revenue post-2027, with ESPN holding the unilateral right to extend the media deal, an option yet to be exercised. Ashburn revealed that FSU agreed to the 2016 GOR under an ultimatum from ESPN, emphasizing, "We don't believe that holds water."
The strained relationship between Florida State and the ACC intensified over the past year, as financial gaps with the Big Ten and SEC became glaringly apparent. The revelation of the "Magnificent Seven's" exploration of leaving the ACC preceded a controversial westward expansion by the conference. The final blow occurred when FSU, as the undefeated Power 5 conference champion, was excluded from the College Football Playoff, solidifying the ACC's status as a second-tier league. The ACC made FSU either sign the agreement or pay more than the school had in funds to escape. Honest courts almost always rule in the favor of the party that was given a choice they couldn't refuse, called a Hobson's Choice. I've heard that Clemson, Miami, North Carolina, NC State, Virginia, and Virginia Tech are waiting for the opportune time to follow in FSU's footsteps.

The goddamn contract is ironclad. FSU signed it. When FSU signed it, they agreed to everything that was written on the contract. There is no way FSU is getting out of the contract. And, the ACC can turn around and sue FSU for suing them. I am so happy that FSU screwed themselves.

Good job reporting! There is big issues that ACC ignored. They did not represent their members very well. They have been weak and satisfied with being a low tier league. That is the key. They were “satisfied “ while they are going to be out earned by 30-40 million each year!! Who can sustain competitiveness with that?

Will the GOR lawsuit end in the ACCs favor? In a word, no. This legal action by FSU will never see the inside of a courtroom. The value of that GOR is $572m. If the ACC loses, they will not get a lesser amount. They will get zero. The ACC can NOT take that chance. The two parties will negotiate a settlement which is the purpose of FSU bringing the legal action. For those who think that FSU doesn’t have a leg to stand on, remember that in the process of discovery, all the things that the ACC and ESPN have fought tooth and nail to hide will all come out. And remember, they thought that their dealings were strictly in private and would never see the light of day. Therefore, they would have been far more candid and juicy than they would have been if they ever thought that anyone would ever know. I can guarantee you that there are things in there that they don’t want exposed. Those dealings with in private for a reason. FSU will get out. It will cost them, but they will get out. The only issue now is the price.

According to ESPN's College Football Power Index 2023, Michigan is ranked #1, Alabama #4, Texas #7, Florida State is #11 and Washington is #13. So it appears the CFP committee weighed heavily a team's strength of schedule although if this was the case FSU should have gotten into the playoff instead of Washington. Here's another way of breaking it down: #4 Alabama played 5 teams which are currently ranked, including beating top ranked Georgia in the SEC Championship Game. Their only loss came early on against #3 Texas. #3 Texas played 4 currently ranked teams including beating #4 Alabama. #2 Washington is undefeated including 4 wins over currently ranked teams. Their highest ranked opponent, #8 Oregon. #1 Michigan is undefeated including wins over 3 currently ranked teams. Their highest ranked opponent, #7 Ohio State. #5 Florida State is undefeated including wins over 3 currently ranked teams. Their highest ranked opponent, #13 LSU. SOS is the primary reason FSU was snubbed.

If you are going to consider SOS you have to look at the data deeper... Alabama beat LSU because it was at home and Daniels got hurt... They lost to Texas who was ranked 11 at the time. They almost lost to Auburn and South Fl. Texas lost to #12 and almost lost to Kansas State and TCU... Also... the only ranked teams Texas beat was Alabama and a crappy OK State team. The thing that pisses me off is that The ESPN SEC money hungry media machine... Only judges FSU when the don't look perfect on the field... But they never hold that same microscope to other teams. It is because it has a vested interest in certain teams financially!!

@@crazytrain03 Back then, USC was #6, Clemson #9, Utah #13, and TCU # 16, yet now none of them are ranked. Florida State beat LSU 45-24 while Alabama beat LSU 42-28. So saying they beat LSU by a larger margin is akin to splitting hairs. And besides, Alabama is a much better team now than when they faced LSU, while FSU is considerably weaker without their star QB.

If FSU is successful in exiting the ACC, watch Miami, Clemson, North Carolina, Virginia, and maybe a few others follow them out the door. Such an event will leave the ACC a sapless conference, an entity that will have little going for itself, at least as far as football is concerned. Whether basketball will be enough to sustain the conference seems doubtful.

I can see the value of the football schools that spend heavily on that program and would be a financial asset to another conference, but UNC and Virginia? They are welfare cases in their own conference now. Why would another conference want another welfare case when they already have too many now? What would be the appeal?

Florida State University - Athletic Department Creates: $87 Million before any tv funds or other conference distribution funds are added. That is how FSU has competed, but the gap is growing beyond being manageability.

This is a voluntary contractual agreement with a voluntary association of which FSU is a member. It is very unlikely the ACC will be denied its contactual rights. FSU was treated unfairly this year in the CFP. Hopefully FSU comes out ok. Antitrust claim is not even relevant here. The media companies get federal antitrust approval almost every year because there are so often mergers and acquisitions between the Big Media companies. These contracts are given more due diligence than any other item for colleges like FSU. FSU will owe about any remaining total grant of right revenue to the ACC if they leave early, just like all the other schools did. OU and Texas paid the Big 12 between 100 and 200 million dollars for signing a grant of right with the SEC just two years before their Big 12 grant of rights expired. The ACC has no choice to protect the rights of other member schools that are negatively impacted by FSU actions that breech the contract, such as negotiating GOR without notice or before expiration.

I think the snub forced their hand to move on this sooner than later. They arent making the same money, and now they are viewed as not part of the power conferences anymore. In the future it is possible having more than a single loss will push them out of the top 12. Hell if the narrative is talked about long enough an undefeated ACC team may be left out like a true G5 conference. The automatic qualifiers only runs through 2025.

You are overhyping this. This suit is for FSU to see if a judge will rule that a challenge to the GORs has any merit legally. If that is the judgement then they start negotiating a settlement. The ACC isn't going anywhere. FSU and the ACC will reach an agreement. All you've seen is FSU's version of events, however they want to present it. Let's see what the ACC response says. You're acting like the ACC has no arguments on their side.

If FSU leaves then Clemson, UNC, and ND will follow. Then the leftovers will scramble looking for a landing spot elsewhere. Most of the leftovers have probably already been talking to the Big12 as a contingency plan in case the ACC implodes, like it's about to. The existing leftovers aren't going to be able to get a decent TV deal on their own.

At the end of the day, FSU wants out. Regardless of the legal position, neither party is going to want to litigate this over an extended period of time. FSU because of it wants to move on and the ACC because this will overshadow the rest of the conference and hurt their image and recruiting. Both parties will settle which then raises the question of what happens to the conference.

I never thought I'd see 3 power five conference teams go undefeated along with 4 more having just one loss during the regular season, considering there was no one dominant team in the SEC, Big 10, Big 12 and Pac-12. Relatively speaking, Michigan can be considered dominant in the B1G, but so can Ohio State. Washington dominated teams in the Pac-12--yet Oregon dominated everyone else. I predicted Texas would do a cakewalk over all of their Big 12 opponents until Oklahoma nearly spoiled their CFP chances. I previously thought Georgia was the dominant team not just in the SEC but in all of college football until they got upset by Alabama in the SEC Championship Game. However, the ACC did have one dominant team and that was undefeated Florida State. From that perspective, this was the biggest CFP snub of 2023. That being said, if Florida State beats Georgia in the Orange Bowl, that would make the CFP committee look like idiots for not including FSU in the CFP.

ESPN, the SEC, and their corrupt Playoff Committee will just use the excuse of UGA having a bunch of opt-outs so they didn't take their Bowl game seriously. The SEC teams do it all the time whenever they lose New Year's 6 Bowl Games, but whenever they win them they always brag about the SEC being a superior conference.

Not really…outside of CFP, bowls games are meaningless with opt outs, due to transfers/draft prep. Should FSU beat UGA, they still would not have faced a CFP team with the stakes the playoffs bring. Enjoy South Beach & the bowl gifts. Best of luck with the Lawsuit.

AAU membership is not just a "distinction", AAU membership brings in million of $$ in research grants annualy, which the B1G pools together and split among members. FSU would not add to that revenue pool.

FSU is not paying anything close to that amount. FSU’s Athletic Director comes from the Big-10. The Big-10 wants FSU and has stated as much. College athletics is Amateur Athletics and a Commissioner, the development of divisions, no polls, no bowls, no more influence by t.v. pundits, and a NFL model is coming fast.

FSU, Miami, Clemson, UNC, Virginia, Virginia Tech - name six ACC football programs who lost their most recent game to the Wolfpack of NC State. Almost all FSU players come from Florida and have never played in temperatures below 40 degrees - they will be pumped to play at Northwestern, Rutgers, Iowa State, Minnesota, etc. If the ACC loses FSU, Clemson and UNC and keeps Cal, Stanford and SMU, they will be just fine. The extra TV revenues (which will be temporary because nobody cares about UNC vs. Purdue) will be eaten up with additional travel costs. Why would the ACC fold just because there are other schools that temporarily will get more TV revenue? UNC will come crawling back to the ACC because that "rivalry" with Rutgers just isn't working for them.

The ACC is about to implode because if FSU leaves then Clemson, UNC, and ND will follow. The leftovers will be scrambling like cockroaches looking for a stable landing spot. So most of the leftovers will probably head to the Big12, the Leftover's League, because the ACC will make peanuts without their biggest brands.

I’ve said previously that there’s no chance that FSU is leaving the ACC for the Big 12, and stand by that. But the bombshell that ESPN can get out of their ACC deal in 2027 changes my tune about the rest of the conference. Should ESPN void the deal at that time, the conference is highly unlikely to get another deal in that range. At that point, I can see the conference disbanding and it becoming a free-for-all.

If FSU can pay the exit fee of half billion, then I'm sure the ACC would love to see them exit. I doubt FSU can pay the exit fees and the legal fees. If they don't want to pay the exit fees, good luck in facing the ACC lawyers from Stanford, Duke and UNC.

Plus FSU has the state of Florida putting pressure on the ACC because their public institution is losing money due to the ACC's mismanagement and the state has legal protections that the ACC is going to have a difficult time maneuvering around.

The ACC is finished because they can't exist without their biggest brands. ESPN isn't going to want to pay them much for their bottom feeder schools. So their leftovers will probably head to the Big12 to remain somewhat relevant, until the players start earning their fair share and they become the farm league for the Super League.

I think people possibly overestimate FSUs position here.. They signed the contracts in 2011 and 2016 and arguably got bigger money than they would have over that period. The smaller schools in the ACC dont want FSU gone. If they and others leave, the TV contract will be anulled, and the remainder looking at a lot less money. Arguably those smaller schools could also sue FSU and anyone else who left. Seemingly ACC will file countersuit in a non-Florida jurisdiction seeking those liquidated damages.

FSU will be on the hook through 2027. They were never made aware to changes in the contract made after they signed. An agreement of staying until 2036 was predicated on security of guaranteed funding until that date. Now we find out ACC and ESPN snaked every ACC team with a clause that lets ESPN cancel all payments by 2027 and leave us all high and dry. I really don’t think the ACC officials or ESPN wants that going to discovery. Just imagine what conversations they would find about that 2027 bail out loophole

Overestimate FSU’s position? LOL. The value of the GOR has been estimated at $572m. If the ACC loses, they will not get a lesser amount, they will get ZERO. They can not take that chance. They will settle. FSU will have to pay a negotiated amount but they will be out which is the purpose.

Don't disagree that a settlement is ultimately likely, same as the PAC2. but the PAC2 with their GOR expiring in 0 yrs are getting an outsized settlement, if your GOR is 10+ you are writing a massive check to get out. And as noted if a handful of schools leaving causes the networks to can the ACC deal, that could easily cost the smaller schools $200+m over 10yrs.. and someone has to pay for causing that.

@@mark123655 A few comments: The ACC and ESPN have colluded for years to hide their discussions and communication. Fought tooth and nail to keep everything secret. Why? So here’s the thing. When parties believe that their dealings will never see the light of day, they speak and write very differently than they would if they thought that anyone else would ever see it. I expect those dealings will now come to light through discovery and neither the ACC nor ESPN are going to like it. The whole point of the legal action is to force the ACC to the bargaining table and reach a settlement. I believe that they will be successful. Don’t forget, a judge can order the parties to mediation and not come back until they have reached a settlement. If the parties agree on, say, a settlement of $250m, then that will be it. Period. Nothing more. The ACC can then distribute the money to the remaining members. So each school will get $16m and nothing more. After they have spent that money, they are on their own. I imagine that the ADs at those leech programs are quaking in their Gucci loafers right now. Their hockey team that FSU paid for will now have to have bake sales or something. It is going to be a radically different landscape for them. I have zero pity. FSU has fed them, clothed them and housed them for decades and never received one iota of appreciation. They are going to have to grow up and stand on their own two feet. About time.

@@davesteller6301 North Carolina is a fast growing state in a fertile recruiting ground. Neither the B1G or SEC have presence in that state. That's why both of them want to aquire their flagship university, UNC, because they are valuable. Unfortunately, the NC legislature wants NC State to be UNC's travel partner. The B1G is only interested in UNC because they are a founding AAU member that takes academics seriously. The SEC wants UNC as their first choice but they may take NC State if UNC isn't available. So the only way both public universities get into Super 2 Conferences is if UNC goes to the B1G and NC State goes to the SEC or UNC and NC State both go to the SEC.

They are not going to a different conference because they do not want the challenge that SEC or Big 12 teams face. Look at Miami's schedule next year then look at FSU schedule. Some teams want to prove they belong in the playoffs while others try to fool you into looking tough. People say they can only win the games they play, but the school schedules teams in advance. If you want to blame someone, blame whoever makes your schedule. If you had Texas schedule or Bama schedule or even Washinton schedule you would be playing over all three

Well, gee. FSU played LSU back to back. The same LSU team that played for the conference championship last year. Yeah, that team. The same team that they utterly destroyed this year. Texas played their than that it’s just a Big 12 schedule, sometimes a bit tougher than an ACC schedule, sometimes not. FSU played Baja also several years ago, and just got through with 2 years of LSU and we play Florida every year btw. So your argument is silly. And this year FSU did not lose to an average Oklahoma team either….
