This is an area of business law I don’t know a whole lot about, pardon the syntax. If Ziggy Investments Limited own the franchise, and somebody buys Ziggy holus-bolus, do the company’s assets not travel with it, in this case the assets being the franchises? Ziggy retains ownership of the franchises, is ownership of Ziggy relevant? Why should those assets be treated differently from a field or a truck or cash in the bank owned by Ziggy?

Almost all franchisors' franchise agreements will provide that if the franchise is to be sold or the operator changed then the franchisor will have the first option to buy it. This is to protect the franchisor's a) brand b) intellectual property c) operating systems d) territory management. Therefore the franchisee, when entereing into the bargain, ought to know it almost certainly must be offered back to the franchisor if the franchisee proposes to get out of the business.

Anyone know if share transfer of a company is the same as a franchise agreement? Basically company A took a lease with an already established business. Company A now wants to sell its shares to an individual for X price. Any ideas - throw them my way. Thanks

@@stephaniesamra7960 One is a share sale the other a franchise agreement. Buying a company by buying the shares is very different, you not only gain control of the company assets but also responsibilities for the liabilities. Its not uncommon for a franchise agreement to also address the sale of shares from a right to approve new owners to a right to 1st refusal.
