Nijisanji: Zero responsibility. Holds all the power by contract. V-tuber: All responsibility. Zero power if Nijisanji decides to. It _is_ absolutely horrible. I think I'm not alone when I say I would NEVER sign a contract like that. It's not only questionable, it's a HUGE WAVING red flag. BUT, I understand someone who really wants to get their foot in the door of a (seemingly) professional company in a field they really want to invest their future into. It's predatory by forcing talents to sign a contract basically saying "if you don't sign it now then forget it".

My best guess as to why talents would sign the contract is because either A: Nijisanji didn’t give them enough time to send the contract to a lawyer to review and so they ended up signing without realizing how bad it was. Or B: The talent simply couldn’t afford a lawyer at that time and so signed the contract without realizing how bad it actually was.

You forget option C: alot of these livers truth be told are either nobodies or just plain out under the radar let's not forget despite them being such a bad company with such a slave contract, they are still known and have a following back then, hence just like hololive or famous vtubers agency being a liver for them and debutting is always at the bare minimum better than going indie most of the time because, they get a huge following regardless as long as they're part of the agency, im not saying being indie is bad but truth be told despite some of the livers knowing how bad or bullsht the contract is, they would never have had the huge following they had at the short or same time they went live as when they went as an indie instead of under said agency.

Remember guys, Anycolor's capital expenditure for 2023 was only 0.8% of their budget versus Cover who spent 80% of theirs. That tells us that Anycolor spent so little to support their livers in terms of computer/software upgrades while Cover invested a lot for their talents. The only reason why you’d want to work for kurosanji over being a slave, is that you still get to earn your own money and keep most of your freedoms outside of your work. Then again, literally every other jobs also provide this, with 100x better conditions.

I can understand why Anycolor's share price is so much higher than Cover's, they're basically putting almost nothing into the livers and taking at least 50% of the revenue for themselves, and owning everything, whether they paid for it or not.

Share price is primarily controlled by miscellaneous market factors, like the number of shares outstanding and how willing the public has been to run up the price. So, just because one stock has a higher price than nother doesn't mean anything by itself. The PE ratio (price/earnings) is an important fundamental indicator. It takes the price of the stock and divides it by its earnings. A lower number is better; if means the stock is not overvalued/run up by as much. So, for example, much is made of Niji being a "billion-dollar company". This is the total market cap of all shares outstanding for the company, NOT the actual amount of money the company has in its personal coffers. The total value of all Nijisanji shares is worth way over a billion dollars, but Nijisanji only made about $66 million in total revenue last year (and that was before expenses were subtracted, so in profit terms, it was significantly less than that). *Perception* : Nijisanji has billions of dollars. *Reality* : they only have tens of millions of dollars, a difference of multiple orders of magnitude. (For what it's worth, Cover's stock is materially more overvalued than Anycolor's, at this point. The PE ratio of Cover is a whopping 44, which is...really aggressive and probably not sustainable. Nijisanji's is down to 26 in the wake of its recent decline, which is still elevated but not as acutely elevated. Cover is at risk of correction on any given day, though.)

2:45 "If they specifically breach the list of things they can't stream, the penalty is equal to the amount of money they made while in breach or the amount they made in the prior 12 months, whichever is higher" Holy shit. This is directly relevant to Selen's situation. She was terminated for breaching something she couldn't stream. That means that she would've "owed" Nijisanji the total amount of money that she made in the previous 12 months. Doki said on stream that she made $200,000 but had no net income because she spent ALL of it funding various projects. So, picture this. You are an earnest, ambitious young woman. You work hard for your company running various content projects for them, which you pay for out-of-pocket. They pay you $200k and you turn around and plow alll of the money right back into the company's content. But then you get fired and the company tells you that you now owe THEM 200k (what you'd made in the prior 12 months). You can't possibly pay this because you are broke. All of the money was already spent to fuel the Evil Empire. So not only are you left with nothing, it's actually far worse than that. You now have a NEGATIVE $200,000 unfunded debt liability to the company that just fired you, per your contract with them. Selen proceeds to try to self-terminate. Twice. ....Jesus Christ. That's what actually happened. With this contract revelation, we now know how it happened.

I want to make a record of saying... That in said contract (which I assume is the same for all livers), that mentions of hate speech, discrimination, or anything similiar is not acceptable through broadcast or social media. THEREFORE, not only is Niji forcing livers (Such as Elira, Vox, Ike, etc.) To breach THEIR OWN contract, but also disregarding Uki's recent comments within his own situation while keeping his contract valid. wth Niji

Just a reminder to anyone reading this. Never accept (even vocally) and sign a contract under time pressure. Take the contract home and read it over spit through words you don't understand, highlight parts you disagree on (and discuss them later), and if necessary involve other people to help you understand a contract if you yourself can't (even if it's supposed to be non-disclosure, just don't tell them). Don't ever sign a contract you do not understand in its entirety. If this really is the contract, I don't know who'd even sign it. I can only imagine what kind of fairy-tale story they'd have to tell people to get them to sign such a contract. Even for a Japanese contract, this is bad.

The worst part of it is that you don't have the liberty to just leave when you want. They can hold your entire Vtubing career, inside Niji or outside, hostage indefinitely. If someone falls into the camp that they got into being a Vtuber because they don't want to show their face, that's crippling. It means they have no feasible way to stream at all without doing a face reveal, and for some people that's a non-option.

@@StochasticUniverse I think the contract mentioned that you can’t stream for third parties after leaving. Meaning you can become an indie afterwards, as long as you don’t join a organisation. However like legal mindset said, they can’t realistically enforce this. Which might be why Nina and Mysta have joined an other org. Also if they were to try and enforce this it would provoke a very negative reaction from the public. Because they’d also would/could go after Luna in Hololive which even the Japanese audience wouldn’t accept. If that is what you’re referring to.

While I agree that this contract presented (allegedly the same as vtubers sign), is clearly not the best idea imo, you also have to remeber that despite everything, does give you one thing. Viewership/fanbase from the get go. Yes every talent there deserves that folowing as entertainers, because its not easy to get into agencies of that size, and they all are entartaining to their respective audiences, but it is still a valid profit. You can be a talented content creator, or simply a very entertaining person but not be able to gain a following. Wheter its your ability to make thumbnails, hit good timezone, or just get lucky with algorithm, following is not easy to get if you dont have a good idea of innerworkings of the platform. That contract gives you that. Its up to an individual to determine if that aspect or any other possitive (some ppl enjoy corpo enviroment, its not always bad. also immidiate ability to work with other ppl in the same sphere may also sound good) balances out negatives. But there is also a fact that ppl also make mistakes. Not vibing with work in corpo or not getting a fully clear picture of what contract entails happens all the time. Ppl also have different backgrounds that factor into these. Many are very comforable in corpo enviroment and are satisfied with their workplace in Niji. Nothing wrong with that. If someone were to follow all of the guildlines perfectly and be fully comfortable and satified with the content they make that way, they will have an amazing time there, no doubt. But their punishments, amount of controll they have over you if you step out of the line and the amount of payment not being guaranteed in any capacity is very predatory. Im not trying to justify Niji by any means. I just give my take on why would someone sign it in the first place.

@@TallulahSoie Only for the desperate and naive enough to sign and lose money, this explains why Doki wasted 200k last year is literally rigged for them to take big cuts of any earnings you make and keep leeching your money, you have to pay and manage every expense like comissions and if you screw up enough to get suspended they take 50% of every earnings in 6 months of work all of that and they are not obligated to support you in anyway.

With them basically saying "You will use your money to buy stuff to use for streaming and those will be OUR stuff so you have to give them back to us when you quit/fired", you actually losing money paying niji to screw your life. Legal Mindset might know generally about contract law in the US, but that doesn't mean he ever actually did anything with it in the real world. The whole thing is full of "if vtuber does thing against contract or to make Niji look bad, it's vtuber's fault" but that's getting interpreted as "Niji doesn't support their livers when those livers violate their contract and this makes Niji a black company". They're a black company for having the shitty work conditions and the inability to leave properly, not for how they wrote up a standard contract.

As someone who's signed (not nearly as bad but) similar employment contracts, some employers prey on your excitement for the new job. You end up with rose-tinted glasses and don't see the issues. I reread an employment contract after leaving an employer once and was shocked at what I agreed to (and in some cases couldn't even legally agree to)

I work in several Japanese company in Japan. My first company was quite "black" as they were able to terminate contract instantly due to "mental problems" DESPITE Japanese rules of one month notifying to each party that the work contract will be terminated. The current one is legit and they give me 2 weeks for the contract, and actually is legit. So yeah, it is just ANYCOLOR here, not Japanese companies in general. There are good and bad companies.

But termination though, is similar to Niji, sometimes your boss can terminate you because of "mental and spritual problems" and you got to sign that termination it RIGHT THEN AND THERE. They will make a statement that said "I will resign from this company due to personal reasons (一身上の都合により退職)" so even if you complain, the local government won't be able to help you out; though they will blacklist this company and make it harder for them to hire people to prevent further accidents Most people won't realize it is a black company once you actually spend some time inside it.

Ill tell you what type of person would sign it. A naive young 18-24 year old whos getting their first job in the industry and doesnt know any better. That would also explain why a couple of the talents (ie Luca) are massive bootlickers for the corp. they havent learned that the company is NOT your friend and they are on track to find out the hard way. They also (since they are so young and naive) might be more afraid to stand up for their rights than they SHOULD be. The one good thing about niji is that theyve developed a following. EVERY SINGLE ONE OF THEM could graduate and still retain a healthy following. The only reason to stay is if they are too naive, too scared or actually align with nijis ideals (and if they actually align with nijis ideals then they deserve to go down with the yacht anyway). I mean shit i used to be the same way. My first treated my hooooooooribly. Like to the point i almost started self harming. They literally broker federal labor laws at one point and my only regret is not suing them. I stayed with them way too long because i was naive and scared of how long it would take me to find another job. Nowadays even if it means id be unemployed if i see any red flags like that i just quit immediately because i know my limits and i know i deserve respect.

B.) had time, but did not read it because: B1.) too excited and just signed it B2.) did not want to look bad in front of niji that may incur looking for someone else so they signed it right away. C.) read it, but said “fuck it. I’m getting exposure.” lol Now I’m wondering about how Hololive contracts was for Advent and DEV_IS since they are the newest groups. Considering Cover go through thousands of applicants, multiple rounds of interviews, and settle on 5 people per group, who will also go through months of training prior to debut, SURELY they go through days of negotiations and walk new idols on how shit works like profit splits, covers, merch, 3Ds and etc etc. Not to mention how the hell does FuwaMoco’s contract works lol. But we will see if anything comes up.

FM most likely just have two contracts. Don't forget, that the workers contract for the talents doesn't need to include what character they are playing, just that they are now working for Cover Corp. A workers contract is always individual, you cannot have one for two people, not even if they are husband and wife working together or siblings, but after that you can have them work together as a team for the same "project" = Vtuber. Also don't forget: each of them have seperated models, they just stream from the same computer. That they are presented as "FuwaMoco" is just marketing, in reality one play Fuwawa and the other Mococo and they form a team together.

Kiara was talking about this on-stream recently; the exchange rate between the Yen and the Euro is horrifyingly bad, you lose almost 50% at the moment. So the actual purchasing power of Kiara's base salary, living in Austria, isn't that great. But anything greater than zero is still better than zero, I suppose.

It was blatantly scripted and Elira and Vox could be heard chuckling where it were least likely to happen as if it was their first time reading it, Elira when she said she felt threatened and Vox when he was talking about Selen/Doki's document I believe. For an example i know some of the livers not just nijisanji were probably working retail or a minimum wage job they never really enjoyed and just the fact they're earning just a bit more by joining said agency despite knowing that the contract is already as close to slavery is already for them better than slaving themselves away at something they hate, we're all slaves to something at the very least they still were happy or enjoyed being a liver despite all the drawbacks and these shtty conditions cause what's more shtty for them than said contract? I have read the contract, and I am not sure if this is legit, but in case if this is, the professionalism and red flags are in another whole level, because if ANY company says "et cetera", it opens for interpretation or anything they want, is like "fill the blank here", I hired lawyers to see contract of companies that I worked for, and all of them specified 100% every single detail of what might be those "et cetera", they do not leave empty spaces because well, if it is open to interpreation you can also be open to interpretation. Not only that, there are a LOT of topics that are like "okay... this does not make any sense at all", contracts are strics, not open for interpretation nor the way it applies, because they are basically saying they can force you to break contract, they can and will get everything in the case you get terminated and you will need to pay a fee for damage to the company, in any topic talk about the liver counter points to the contract, is basically "hey, want to sell your soul, here, take it", they do not prevent legal actions, they just shove things that they can do, and a few that prevent legal actions, in any circumstance in the contract are like "Oh, well, agreeing with this makes you not being able to take legal actions based uppon what you have read if happens to break the contract". It is just really, really, weird.

debating 50% cut after youtube/apple cut or whatever is a little too much or not. the penalty combo of 50% of your income if you get "suspended/terminated" and "we can terminate you without reason" is really bad. no wonder everyone get out of contract as soon as they can (2-3 years mark is vtuber lifespan, i guess that's their contract duration in general)

In the VTuber application it says to stay for a minimum of one year, that's all I can tell for sure. But with a contract like that, it probably takes time and a lot of planning to get out of there again as safe as possible.

Man, that contract is a feast for every single lawyer, since like 90% of it is completely and utterly illegal and thus void :D In any normal country, signing this contract would be extremely damn smart, because you get the exposure of Niji, yet can ignore basically the entire contract and get a huge sum of severance pay, if they try to terminate you :D

And if you see all this shit and sign that kind of contract... well I am truly sorry but you deserve whatever comes in your future. Some parts in that contract seem like they would be iliegal in my country (for example employer is REQUIRED BY LAW to provide anything and everything worker might need for their job - in other words if you work "remotely" they need to provide you with a computer or some other device to do your work).

Honestly whats sad is 1-The livers stayed. 2-They did not go against the company 3- they did not defend the liver driven to suicide by the company. 4. Instead of the moral highground and leaving They chose to go against the liver just as the company did. 5. Literally chose their jobs over a human life. 6. Defenders never have anything to say to refute this fact. Honestly part of me believes that if the talents knew what was going on the moment it happened and drop the company 100% not caring about the reprocussions the company would give them in support of the livers that decided to leave- -BUT! They'd do it, **ONLY** if they didn't have something to hide that they may have done during the whole selen situation behind the scenes. Afterall, fear is the only thing I can think of that keeps them from speaking up, so their's clearly dirt from both sides Talent and Corp side here. Personally I wanna know your guys thoughts, it just makes no sense to stay given that there are the better opportunities that are out there for these popular livers if they left at the start of the situation.

You are talking about people who were herded into signing this contract in the first place. They can be herded into doing just about anything if that's the case. Even if they hear that they could leave and prosper they aren't always going to be capable of relating that to themselves. Also, many people throughout history have witnessed far more horrifying things during the course of "doing their job" and kept on doing it. The interrogation rooms don't clean themselves.

The summary doesn't really say it, but looking at the contract makes it pretty clear that you can't just leave. The contract runs for two years and is automatically renewed for another two years unless the liver applies for a graduation 3 months before that date. (Nijisanji on the other hand can terminate the contract anytime with 3 months notice.) In case of termination the contract gives Nijisanji a lot of opportunity to reduce or even keep all of your pay. Unlike Vox said, it's not always an option to just leave. In a way every liver who signed this contract is also a victim.

​@@klopferatorThis As much as we would all like the NijiEn talents to stage a coup against the company, the fact is that they are damned if they do anything to bring about AnyColor's ire The contract states that you need to submit your graduation notice three months before the renewal date, but there's nothing stopping Niji from delaying your graduation date if they feel like it (could be part of the "obligations" that Mysta mentioned during his initial graduation announcement stream). If it was hard to leave Nijisanji amicably before, then it's gonna be damn near impossible to do that right now with all the drama surrounding them.

They're doing better. Since they're closer to their fans, they get better support compared to their overseas branches. Also Mito, Kuzuha, and the OGs have a very strong hold of the vtuber scene in Japan. They might even have better contracts than EN.

Actually if you pay attention, many of them leave. Not renewing the contract, graduation, etc. My own highlight is Chihiro, member of first generation. She is actually quite successful. She graduated, but then redebut just within days. The fact that she prepared new model and persona and everything, make me believe that she thinks it is better to be indie than to stay in niji.

I think this contract explains a lot of what we've seen from livers both during their career and post-niji. I'm guessing some of the others have signed the silencing contract too. What a hellish company. They need to be removed from the EN scene. They are predatory to the max. No one should support this company.

So they want the leaving livers to sign an NDA? Yeah, I heard about some companies doing that Some try to sneak that in, and some are straightforward Some offer money/cash or other bonuses. But I never heard of them giving you 3 hours to sign it. Also if I remember right NDA can't be forever, have unlimited duration. NDA with unlimited duration shouldn't have any legal power at all. If I remember right, they have a duration limit. So I wonder how they expected to silence the livers after leaving with that. In many cases, NDAs have a duration ranging from one to five years, although longer or shorter durations are possible depending on the circumstances and the preferences of the parties involved.

Often, you have to sign away your right to say legit anything negative about your former employer if you want severance (personal xp). Granted, that was struck down as illegal last year. It's generally not a good idea to be publicly negative about priors, unless there are abuses than need to be known, in general, because that stuff can get around in your industry and isn't a good look.

For people wondering how someone could sign a contract like this, do remember that all of these issues have only come out recently. If you're a new talent signing up for one of the largest Vtuber companies in the world, how could you possibly imagine there would be so many problems? "If everything looks to be running fine then the contract must be fine right?" kind of mentality.

Or not only that any aspiring liver would also have the thought of "even if this contract is bullsht and is basically slavery i would never gain a big following or fan if i go indie unless i join said company because they have a following already" let's be real alot of these livers would've never gotten the same level of success as indies, so some of them probably read and know what the contract is and signed it regardless because they're desperate for a better life, don't forget alot of these livers are young and are probably working minimum or was in retail before they become vtubers or was indie streamers/vtubers who had little to no following, so the setbacks of the contracts to what they probably would gain is a better trade for them just because of their circumstance or situation, and even though the contract was next to no profit they're probably earning more than their previous job despite what the contract cuts seem, overall some of them may know its shtty but it beats what was going on for them at the time

@@Mac0bra_no. i'm not the hugest fan of zaion/sayu either but that absolutely wasn't the reason she got termed. not even nijisanji listed that as a reason, and they had a boatload of bullet points. the statement they released is easy to find, and you can find sayu's own statements on the matter pretty easily too.

Niji just made their contract a board exam test paper.. you only have 3 hours to fill one blank space. making you stressed out while the time goes by with the only thing you get is "Exposure", "Loans" and a piece of paper.

Funny thing, I remember people bashing HoloLive several years back, as though they were a dark company, and comparing them to Nijisanji, as though the later were some sort of saint and exemplary role model company. While HoloLive is not perfect, much of the time the situations they've ended up in are not necessarily their fault, and compared to companies like .Live, who proceeded HoloLive in popularity and content, yet systematically destroyed themselves by firing two of their prominent VTubers, and then a couple years ago phased out most of the rest, then there is the situation with Azuma Lim's former company CyberV that transferred her Chisey, which locked her out of her account without pay for a half year, fortunately she won the legal battle in the end and resumed activity. One thing I strongly suggest to anyone who follows VTuber, is to look up Azuma Lim's return from hiatus video, I remember someone translated it into English, so it should still be online.

Most places you can't openly own slaves. But you can unofficially hire child labor if you're quiet. Hell, there's surprisingly not as much protection for minors outside of maybe sexual endeavors. But even if you don't want children workers, you can hire interns, temp workers, contractors, prisoners, migrants, outsourcing... The secret is most economics only work because a majority of labor is done for free or massively underpaid. Hell you can run publicly funded places with some of the worst practices, rates, and contracts imaginable.

One thing that's not being talked enough about I think is that they dictate where you physically work. If you don't then they terminate you. If you have to move to Japan at their request you have to pay out of pocket for travel expenses before they reimburse you. Then they say if you break the contract we don't have to pay you anything. So theoretically they could probably delay your payment and then decide you broke the contract and not pay you anything

I just honestly want to know why anyone would sign such a contract. It doesn't take a lawyer to see how fishy it is, even more confusing to me at least is that a good couple of the Nijisanji or former Nijisanji members didn't exactly need to be vtubers so it's not like they had to sign it. -Pomu literally had a full-time "office lady" job -Zen, Vox and Kyo had pretty successful RU-vid channels before Nijisanji The only one I could see who might deliberately ignore it would be Mysta because of his mom. But even then dude was apparently a bartender at one stage, so he could've still made decent money. Plus I'm pretty sure his indie vtuber form was decently popular.
