This might be an option too. My friend's Father retired and left his business to his 2 sons. While one brother was doing 90% work, the lazy one was taking 80% profit. My friend was trying to fix this for few years. Father didn't want to be the judge and any attempt to talk with "lazy" brother and fix it was a fail. The hardworking brother divided everything on half (tools, cars, everything). He rented a new office and started new company. He contacted all customers and informed them that he is starting new business alone without his brother. Most of the customers never heard about the "lazy brother" and they followed him. He handed his brother and father the keys, and his resignation. Of course the Original company went out of the business within few months. He become the black sheep of the family, but he is successful business owner now.

sounds like my family. dad complains about how my brother is lazy, never answers his phone. i am the opposite. but we get paid the same. confront him about it and says its about being fair. i say ya na ya na ya na. long story short I'm getting a new career. the family business is now my second job.

There are so many people have no conscience or honor. Be fair, treat others the way you want to be treated. Too much selfishness exists in the hearts of mankind. Thankfully about 50% of people in this nation have a sense of what is fair, in my opinion.

I did exactly that … was in businesses with my father, who I found out with a degenerate gambler - he was stealing money, hiding profits and refused to give me access to the business bank account.

Unfortunately, the devil would be in the details - he can’t invent a new company out of thin air, it takes enormous capital - which he probably doesn’t have unless he sells the company he has. Too, his current company probably has debts that can’t be walked away from.

I don’t know why I’m constantly shocked at how scared small business owners are of making the right decision, especially with family is involved. Whoever thought this ownership structure was a good idea was insane and letting us go on for four years is even worse.

I am no business person of any sort, but that structure worked as long as both brother’s equally contributed. I think probably it should have been set up differently though in order to avoid problems. What is interesting is how long it worked.

A peaceful Thanksgiving is a heck of a motivator. There are a lot of families out there who don't talk to one another and I think that's where this guy is coming from. But jeeeeeeez I would not have gone into a partnership with family in the first place.

People like to leave big details out of stories etc. I bet it's something like the brother moved back to take care of dad. Dropped it all and did it for dad so that's why the dad is on his side.

Another option might be to take the workers and start a new company. Shut down the existing company , get a fair estimate of the value for the trucks and tools, then give brother his 49 percent and dad his 2 percent and keep the trucks and tools, Subtract the 4 years wages and the value of his free truck. Once it's done, you have the trucks, tools, workers and customers. for your new company.

He should have had this conversation with the brother about 3.5 years ago. It's hard to get tough when you've set a precedent of weaknesses. Change the locks, order the truck returned or file charges for unauthorized use which will get it seized upon 1st contact with LE. Go to the bank and open new accounts to transfer business accounts without him having signature authority.

This is a tale as old as time. One brother has a strong work ethic while another brother gets to skirt by, all the while, the parent does nothing to interfere because that would take work on their part. As a parent of smaller children, when I see this inequality in the dynamic, I am especially hard on the one the expects all the help so that this doesn't happen when they grow up!

It's always a sticky situation when dealing with family. Whether it be business or a will. I think this man really just wanted to keep the peace within the family,and that's why he put up with it for so long, but sometimes you have to speak up. I hope it goes well for him and the family understands and can resolve this peaceably, but I have my doubts.

A local GREAT very popular restaurant closed. They had a "sell it to the walls" week. The owners mentioned to me that, having had a large family, everyone wanted a piece of the pie even if they didn't work much. So the parents, elderly now, decided to sell and close and retire. Idea: Let your brother sort out what's a fair deal for you and for him. Then take the pile he intended for himself. Fair, right?

Don't tell your brother that you are going to give yourself a raise, just do it and it will show in the bottom line. Tell him you are no longer going to provide insurance to his vehicle, give him the pink slip and tell him to put it in his name. Reduce his next profit check by the honest value of the vehicle. Make sure you give him a receipt for the vehicle and let the DMV know that you no longer have an interest in the vehicle, there are forms for this. Buy yourself some liability insurance to cover if they sue you.

Good grief, don’t buy out the brother and father. They don’t deserve a cash buy out. Close the business in that name; set up a new company. Let him keep the truck as compensation. Having family in business with you is one of the most frustrating things that can happen. I know this….. from experience.

Lawyer up, change the locks, stop cutting the paychecks, raise your salary to compensate you for doing your brother’s job. No matter what guilt trips they try to lay on you, remind them who is wrong. Never apologize for doing the right thing. Bottom line the entire family disrespects you if they come take your brother’s side in this matter. Remember my first admonition, Lawyer up after doing some research to find a qualified attorney who comes recommended, preferably. Now, spend some time with your father . Lovingly let your father know your concerns without laying down demands immediately. Maybe ask Dad’s advice just to get an upfront and personal discussion started, one on one. You will get a better feel for how things are headed.

Double the callers salary to reduce his brother's portion of the profits. Then write up a legal contract giving the caller majority control. My husband, was a Master Licensed plumber working for the LI, NY family business. His sister was gifted position of President/CEO when dad died. She had been a receptionist and knew nothing about plumbing contracting business. My husband walked away and started his own business and the family business failed..

If the caller is in charge of operations but his father and brother have controlling interest in the company, I don't understand how it's as simple as Dave said. He has 49%, his brother has 49% and his dad has the deciding 2% but he said Dad was in his brother's pocket so he would undoubtedly side with brother in this dispute. If he decided to give himself a hefty pay raise could the other two come in and veto that and fire him and get someone else to run the company, putting HIM out instead? I would love to see an update as to how this played out.

With Dave is referring to is a operating agreement of the actual business and if that operating agreement doesn't detail anything specific then it's up for grabs as to what happens. So since the brother basically has the keys and the checkbook and full control of the operations he could pull a coup like they've said. Essentially they'd have to take him to court and fight it out but at that point it would be more wise for them It would force the option that Dave is actually pushing. Business is a lot more than just percent ownership

@@cheezeball6109not to mention they have no written agreements so there’s nothing whatsoever stopping him from just founding a competing company and hiring away whoever he needs and taking all the customers. Honestly I’d keep that option in my back pocket before going nuclear. Tell them you don’t want to pay him any more and weight that as an option. Start the competing company without telling them and just start signing customers.

I envy this guy, at least he has the means to do something. My business partner just changed the locks and cut me off from everything after I repeatedly asked for the yearly 3rd party audits of the financials he's contractually obligated to provide. I was asking for these because I'm 99% certain he is embezzling six figures from me. Now I don't have the means to press charges and get what I'm owed. Get what you deserve man, a lot of us are getting screwed out here.

My family was in the same type of business. HVAC and appliances business called Kirkland Appliance in Opp, Alabama in the 1970s and 1 1980s. Unfortunately the business closed because business like Montgomery Ward could get Appliances cheaper than we could and the HVAC and appliances repair side of our business was what kept us alive. My parents ended up getting divorced because my dad admitted to an extra marital affair that happened years before when he worked in maintenance at the local hospital. My mom had never cheated on him and she gave him his walking papers. They got a divorce and filed bankruptcy. 😢

This is a sad reminder that when going into a family business contracts need to be drawn up and made legal for the protection of all parties. Thinking everyone is going to be honest and do the right thing is not the way to start a business.

He might have final say on how this shakes out. The real estate side sounded like a totally separate interest between brothers. Caller might be hosed on the HVAC side.

Change the locks and remove all bank information from the office before you confront them. If possible change banks so they don't know where the money is. Have the truck repossessed as a company vehicle(company asset)and get it towed back to the shop.

This is familiar to my son and my brothers business, my son owns it and my brother was doing jobs for cash behind his back and not reporting it. That’s more than likely what is going on here. His brother is using his own personal company truck doing side jobs for cash plus getting a paycheck from the company. Awful.

Working with family is the worst. Love my family, but it is so hard for folks to separate work life from family life sometimes. Seen good businesses go belly up due to one spoiled brother or sister in a family business ruining it for everyone.
