Starting at 21ish min, please explain how this deal is beneficial to the seller? Who's to say the buyer isn't going to just run the company into the ground and then the seller makes nothing from it?

A ton of local businesses do this because they can’t find a cash buyer for the business. If it’s a business worth more than just its revenue, you also don’t want to pass it off to just anyone, even if they’re willing to pay your price in full.

The model Dave describes for the deal makes no sense from the seller’s point of view. The seller is already going to get the profits for the next few years as is, so they’d be giving away the company for free.
