Let me give you an example of a similar case of a company that at the end earned my respect. In 2006 I went to a 24 Hour Fitness and at that time they had a "Lifetime" promo where if I paid $500 in a single payment I can get lifetime access to most 24 Hours Fitness gyms around the country. Well it is now 2022 and even after they suffered several bad years with COVID and even filled a bankruptcy, they are still honoring my lifetime membership! This is amazing to me and I keep recommending them to friends and family because of this. Filmora definitely lost my respect to them and any possible chance of referring them to anyone.

$500 for lifetime ! That's insane.. In my country ( PPP ratio of 3.5 ) any reputable gym(say, Golds') will charge $300 annually .. Even after adjusting for inflation your amount is roughly $1000 and that will be gone in 3 years in my country

The reason? Its a franchise and head office force the individual operators to honor it. Its like the $5 subs at Subway - owners hated it. Also - the two class action lawsuits launched on bogus lifetime memberships probably smartened them up. For a Class Action lawsuit, your first step is to hire a lawyer, and sue the company. Once the suit is filed, you can ask for it to be converted to Class Action status. Once Class Action status has been established, either: -Everyone with a Lifetime License (as learned through a motion of discovery for Filmora's records) will get automatically added to the suit, with notices sent out asking if they'd like to be removed. or -Notices will be sent out to everyone with a Lifetime License (again, from Discovery) asking if they'd like to join the Class Action. At this point... Just let your Lawyers do their thing.

The fundamental problem is that when you upgraded from previous versions of Filmora to newer "upgrades", you probably accepted the new EULA with the new terms. If so, then there is no legal basis for any lawsuit.

@@DavidHHH99 Actually.... Those changes wouldn't hold up in court. Ignoring the problem of the EULA updates not applying to the people who bought their license before those changes. A contract is a, by it's nature, 2-sided thing, both sides HAVE to gain something for the contract to be valid. Likewise, changes to an existing contract need to benefit _both_ parties in some way to be legally valid. The gain on one side doesn't have to be proportional; gaining as little as 1 penny is enough to make a contract legally binding. Now here's a question for you: In the change to the contract that made it so users who had paid to receive any and all updates to the program for free suddenly had to pay... What did the end users gain that they were not already entitled to under their original contract? Go ahead, take your time, I'll wait for you. .. Yep, exactly; not a thing. Hence, not legally binding.

@@edale2 By your argument, you could never enter into another contract with the same person or company again. So, if you bought Microsoft Windows, the EULA for Microsoft Office would be null and void. That's not how the law works. The new version of the software has a NEW EULA. You agree to it as a SECOND contract. The first contract technically has nothing to do with the second one. Admittedly, you HAVE to agree to the second one, in order to use this new version. But that's true of ANY software that you purchase or install.

I’m a television producer and professional editor, and I primarily use Adobe and Avid. I’ve never heard of Filmora before, but this is very good information to have. I get asked 1000 times a year to recommend editing software to beginners, and now I know to tell people to avoid Filmora. This whole situation is very sketchy, and feels like a massive let down for their customers… and this is coming from an Adobe user!

@@Daniel_Batal Yeah it’s pretty clear that Filmora started out wanting to differentiate themselves from Adobe in allowing one license to cover multiple generations of the software, and are now punishing their early adopters for expecting them to stay that way forever. My next question for Filmora, at this point, would be to ask how much longer Filmora 9 will be available. At some point, they’re going to pull it from their servers and tell everyone “We were referring the lifetime of the product, and the product’s lifetime has ended.”

I'm so glad that RU-vid put this and your part 1 video into my suggested videos. My son recently asked if we could buy Filmora for him. At first, I was fine with the idea, but the more that I read the version 12 license conditions the more sketched out I got about doing business with them. Your two videos have reenforced the sketched-out feeling that I now have to the point that I do not want to do business with them. Additionally, the fact that they are based in a CCP controlled country means that there is little in the way of legal recourse for users, since the CCP generally doesn't always enforce corporate legal obligations when they involve foreign customer if the CCP doesn't want to.

I'm a musician and use FLStudio. I bought it about 20 years ago with their promise: lifetime free upgrades/updates. Over the years (I bought version v3 and now there's v21) the software evolved to one of the best and most used pieces of software for creating music. I NEVER had to pay after I bought the original version and so now I'm using v21 completely legally. They kept their promise and the company (Image Line) is still in a very healthy financial situation. So, I guess if you have a good business model, it is possible to keep that promise.

Yup thats how a real company works. They use the financial resources of selling their product at the time and live within those means. They don't just salivate at every past customers pocketbook and try to cannibalize their customer base. WHEN there are other competiting options on the market to turn to like there is in this case. Of course many companies use shady practices like this gainst their customers when there is no other option, but its foolish of them to believe they are in that category.

Great job, Daniel! Thank you for sharing your point of view. With my lifetime Filmora license I ALWAYS installed new releases for free, and nobody cared about the definitions ("update"/"upgrade"). Changing agreements retroactively is a HUGE mistake: it takes years to gain trust and a moment is enough to lose it. Filmora's insistence on making its customers look stupid only makes matters worse too. Personally I hate subscriptions. When Adobe forced their customers toward subscriptions, I switched to other brands. For photo editing I've been using Capture One for a long time, and I've always bought the upgrade instead of the subscription. They recently announced that the current version (23) will be the last one that can be purchased "traditionally", then they will move on to subscriptions. I'm not happy with that choice, but at least they said it clearly and almost a year in advance. Although I felt cheated, I still paid for the 12. But it will be my LAST purchase.

Dear Daniel, About 12 hours ago, Wondershare officially revoked the "upgrade" rules for Filmora 12 on RU-vid in the German community and more or less apologized for the "upgrade" procedure. It even offers solutions for affected lifetime users >= Filmora 9. Great thing I think. Wondershare seems to have gotten the message now of what it means to possibly lose its angry lifetime users for good because of this. Greetings and thanks so much for your great videos on Filmora! 😉

They don't have to continue offering the product, but attempting to change the terms and wriggle out of their contract, will likely result in heavy punitive damages and sanctions.

Is the software version 11 not good enough for you now that 12 is released? Are you forced to move on? If you are no longer allowed to use version 11, I would agree this is not ok. If you can still use version 11, you didn’t lose anything to begin with.

Malwarebytes used to offer customers a lifetime license when you purchased their product. They transitioned to a subscription model years ago, but to this day they still honor all lifetime licenses sold and give those customers access to all new versions. I still highly recommend their product today.

It really doesn't matter what Filmora would like the EULA to read, at this point in time. To see, when you paid for your "Lifetime" subscription the law is quite specific: the terms of the agreement apply when you completed the contract THEN and cannot be changed without agreement by BOTH parties involved. In other words, when you transferred your funds to Fimora for their product the terms and conditions of the contract are set in stone,, based upon the terms presented THEN. NOT what they can change them to, now UNLESS the contact states they can make those changes unilaterally. The contract didn't seem to state that clause. Breach of Contract. Yes, you have a valid class action case.

While I understand the difference between "update" and "upgrade" could be significant, in the context of how they released their software, and how it interfaced with your license, it seems pretty clear. Since you continued to get several additions of the software (8>9>10>11) via your lifetime license, that would imply that receiving any new addition of the software (ie: v12) is considered an "update." They set a precedent where your lifetime license had already given you access to three new versions of the software

Yes, by providing both uppgrades and uppdates earlier in their lifetime subsription they created a precedence... Filmora is almost certain to loose in a class action lawasuit against them over this.

That's the problem. If they'd said "It's lifetime access to this version and it's updates (And updates should be included whatever the license, so why they think they'd get away with saying THAT was what they're selling-ridiculous, they'd lose in a heartbeat)" and then they charged for the next edition? They'd likely be able to argue for it. But since they've already given out multiple other versions of the software to those customers, they've set the expectation. And also, it was just definitely included in the beginning based on their wording.

I got a 10 in commercial law at university. This is A grade, equivalent to the American education system. So, you had a contract with Filmora, from when you bought the license. This is your law. Now, when Filmora comes to Filmora 9, it allows you to download and install the new version according to your contract but includes new Terms of Services that change the initial contract. You can agree and install or you will not install Filmora 9. This is against your contract, so is void. Even if you clicked Yes, these new provisions are a so-called Leonine Clause. It was presented to you as an Ultimatum: take it, or you cannot use the software. Filmora would lose in any court of law in a civilized country. Probably not in China, but this is another story. Actually, I guess is the same story.

Filmora is on a dead-cinch loser if they ever are stupid enough to try and defend this in court. It's not a gray zone. It's black and white, clear-cut, plain-as-day. The original T&Cs govern. Heck, plaintiffs might actually get a Summary Judgment. Filmora surely knows this but is trying to bluff their way hoping this will blow over (hint: it won't). If I were them, I'd expect an 8-figure judgment plus a few million in defense attorney fees - they have to make a business decision to decide if the legal costs are a worthwhile trade to get away from lifetime licenses and the bad press/ill will.

@Jeff Groves Doesn't matter, if they do business in another country they are subject to that countries laws, Microsoft is based in the US but got hit with a record fine for not following the EU laws. And yes they can have a judgment forced on them even if they are based in China. Say a EU court rules against filmora and filmora says "don't care we are in China" Well the people buying their stuff are not so say you live in France and buy their super plan for 89.99 euros, the moment that 89.99 is transferred the courts order has the banking system move the funds into a escrow account Filmora can't touch. So filmora can either obey the court ruling or only sell its product in countries without reciprocity treaties (basically China, Iran, Russia, and North Korea)

Read the fine print! In digital world we have updates and upgrades. The company can call any software an updated version but not an upgrade. If the term of use has updates and upgrade for a lifetime Filmora would be in trouble. Also, if the fine print says that they can modify any thing on the term of use and you agree to install it, you will loose in court. Read the fine print. This sucks because 99.999999% never read the fine print. I could create a software and say... Free For Life no matter what version and upgrades, but if the fine print says... No guys, Runoos Shorts has a point--all lifetime license holders should be refunded the entire cost of all versions released and sold on other plans and subscriptions since their licence, and all versions that come out after, in perpetuity. For each ~$60 lifetime licence they should refund a few thousand dollars, or just honor the original agreement. That sounds pretty fair.

Who knows, maybe that will cost me more next month. In my view, it's OK for a software company to charge for new versions. It's an exchange of value, I am fine with that. I didn't find v12 better, some stuff was moved and involves more clicks now. But all that is irrelevant. If you make a deal and change it later, that's just rude and in my view a breach of faith.

I'm no lawyer, but I do know a lot about EULA as I as a web developer have written quite a few over the years for clients. While a company can change (and has the right to do so) its EULA &/or TOS, it MUST notify the public/customers prior to doing so. You simply cannot silently change a EULA without notification and require that it be followed. And yes, after seeing all the evidence, there are definitely grounds for a class-A lawsuit.

Like it really feels if they want to completely go back on what they sold (like you getting all updates to the product line forever) they need to offer a full refund to people who don't want to agree to them saying "not anymore now though." Like that feels the same as say you buying a year subscription to something but halfway through they go "ok it's now a 6 month subscription, you can either not agree to that change and stop using the account or you can agree and pay us for another 6 months to continue using it." Like if there's no option to go "no, I'll just stick with what I originally agreed to for the time term we agreed" then changing a deal doesn't seem like it should be valid.

It's a bit like if you pay somebody to wash your car and they don't and they tell you that you can either get the car wash that you were promised and a modifier that says they don't have to do it. Or you can not have the car washed and they keep the money, but you still have the hypothetical right to a car wash. That's not how contracts work. You can do a lot with a new license, but I wouldn't expect this kind of a change to stand up in court unless the customers are being given something in exchange for giving up contractual rights.

It feels like buying a year's subscription of monthly comic books, and then you receive the third book with a note: "Sorry, the ink just got too expensive. If you are reading this, you are agreeing that you will not receive the remaining 9 comic books unless you pay for them". I imagine you would be angry and ask for a refund for the remaining books, right? Ok, this time it's not a year but a lifetime, and you cannot ask for a refund for an unknown number of future editions of the software, and also you cannot ask for a refund for the software you already have been using for years. Still, there should be some kind of compensation / penalty for their breaking (modifying) of their own initial EULA. Are they legally allowed to change the EULA in a way that removes the rights you had paid for? What would lawyers say? Have there been any good precedents?

Furthermore, What impact does not telling the license holder have "prior to doing so" as the licensee has No choice in the matter on top of never having any Plans to dish out more Money one way or another? So at some point they would have to switch from the EULA that correctly honors the lifetime license to the one that does not, but to do that, the lifetime customers would have to agree to that new EULA. If the new EULA now denies the customer a right they are contractually entitled to and Wondershare says the customer is not getting the new version of the software unless they agree to the new version of the EULA, that just puts Wondershare in breach of contract. The customers have a contract that says they're getting the new version, and they can't just be forced to agree to a different contract that says they're not getting it. Nowhere in the old EULA does it say that the customer is obligated to agree to any new modified EULA, and if it did that would probably be an illegal clause anyway.

Thank you Daniel, I had no idea they'd decided to do this to us Lifetime license holders. I bought a Filmora lifetime license way back in 2014 so you can probably imagine how early the version was. I've used it for all my small part time projects and it's been a brilliant piece of software that has done exactly what I needed it to do. Today all that has ended, I've watched both of your videos and have decided to uninstal Filmora. When I first bought my lifetime license for Filmora, I asked the same questions yourself and probably thousands of others asked, mainly does the license cover ALL future versions of Filmora? Their answer was that it did, it would cover EVERY new version of Filmora that was released. It didn't matter what the version number or letter was, the license would cover all future versions as well. If they'd have sent me an email asking if I wished to update my license or exchange it for one of their plans for a small fee I probably would have done so.I've used their software for nearly a decade and wouldn't have minded chucking a bit of extra cash their way, but the way the whole thing has been handled by them is just plain wrong In future I'll stick to free/open source software (Davinci here I come)

If you want alternatives, some I use and like: DaVinci Resolve: Proprietary, but has an amazing free version, and supports Linux, Windows and macOS, for Linux, it supports CentOS only but you can use makeresolvedeb to turn the installer into a Debian installer (to install on Ubuntu/Debian based distros) KDENLive: Open Source, great for editing, support basically the same OSes as Resolve + major Linux distros like Arch Linux

I've been made aware of this issue through your videos so I'm not completely up to speed on the nuances, but, one thing I'd say is regardless whether their move is legal or not, it's certainly in morally grey territory. The best thing Filmora users can do is to vote with their pocketbook and take their business elsewhere, including to products like the free and amazing Davinci Resolve. TBH, I have a feeling that they did this because they are CTD. Lifetime licenses and equivalents are something that companies need to be very careful about because once that sale is made, you have greatly limited your ability to get more money from those customers. A lifetime license that a company can reasonably maintain is going to be some combination of very expensive or limited in number available. More money is needed for future development and even just ensuring that the software works with newer operating system versions can be expensive.

I suspect that they don't care because the company is in a bad spot financially. It's the main reason why companies discontinue these programs and want to cancel them completely. They're not receiving more money to cover development and they still have bills to pay, if enough new users aren't paying to cover whatever isn't covered by the money they've already collected, then they're going to be insolvent before too long.

I haven't read the original EULA, and I am by no means familiar enough with associated laws or hold a law degree, but I would suspect that EULA had language (as is the case with nearly all of them) that might read like this: **We reserve the right to make changes to this EULA with or without notice.** Every EULA I have seen has a clause similar to that -- and it allows them to legally throw people under the bus (if they chose to).

IANAL, but this smacks of a violation of their contract either by forcing a worse version of the agreement in order to use the contractual rights of the user or to forego further updates and retain the lifetime updates. A court isn't likely to go along with that as there is no way for the customer to go which doesn't result in a material breech to the contract.

The only issue I used to have with Resolve was that their export encoding for H264/265 seemed to be really bad. I’m not sure if they’ve improved it since it’s been a couple years now, at that time I think premiere encoder slightly better. I had struggled a lot with getting good quality video onto RU-vid.

I tried using filmora a few years ago when I was first getting into video editing and was seriously considering paying for a plan. With all this happening, I’m super glad I ended up not going through with it and instead learning davinci resolve. Great video and thank you for this information

Following in Adobe's foot-steps. Sell CS box copies to thousands for hundreds of pounds each, move to subscription model with new versions, saturate subscription market, screw over those that never felt the need to subscribe for the new versions because old box copy still did the jobs. Yeah Adobe did that, flew under the media radar too. My CS4 box copy came with discs to install and product key, I purchased it so it's mine forever. Or so I thought, Adobe deactivated the ability to activate the software with the product key.

That's right, the car HAS heated seats but you can't use them without subscribing. Only a matter of time until you can't turn the whole car on without subscribing.

This whole thing kind of reads like 1 or 2 executives calling the shots entirely convinced that this action is not only valid but also financially beneficial for the company at large. They won’t budge until they lose enough customers and/or get sued. I’ve seen it happen way too many times.

I have a little legal experience with regards to class action and no I'm not a lawyer. Class action law suits are the preserve of the rich - period. The costs involved in retaining a lawyer can run into 10's if not 100's of thousands of $$ just to get the ball rolling. The cases can take years to resolve ( I reference a class action against a major airline going on since 2005 for fuel surcharges on passenger air fares ). Most of us will be dead and buried whilst the legal profession enjoy a rich retirement. Ultimatly the cases usually settle out of court with no one coming out a winner save the lawyers. In short the law has nothing to do with juststice for lifetime license holders.

@@AlmasyAlliances Take it from experience the EULA would not be enforced. They promoted a product using fraud in multiple western countries. The Chinese govt has a long standing reputation of letting criminals fall under the bus in western legal systems so they as a govt look honorable and legit by comparison. If I were the people running filmora, I would immediately honor previous promises or happily bend over and kiss my butt goodbye.

The sad part is the toll of these misguided decisions usually falls on people like me who interact directly with the customers. It’s dangerous to be a business owner who has 100% control of what happens within the company. As the old adage goes, absolute power corrupts absolutely.

This is one of the reasons why open source software is the only viable option if you want long term stability. It's a shame that the film editing landscape is kinda weak on the open source side, but that stuff changes fast - just look at the recent changes to the note engraving landscape. Hopefully the open source renaissance will reach film editing soon.

But make sure you also read the open license agreement....it's not as OPEN as you might think. It can be a real headache (if needed for commercial use for example). In my industry we add as much, or more, diligence to OPEN source licensing.

Filmora doesn't understand that when they offered 'lifetime' they were getting capital to a specific few (because buying that was only available while they were selling it). That capital (sold that way; 'lifetime') is almost like selling stock / ownership into your company. They don't need to block previous customers. New people are born everyday (meaning that new customers are always going to be possible). Previous customers should be grandfathered! GREAT VIDEO DAN!

There's an issue I think you should be aware of, regarding Filmora and their software. There is a chance that a critical part of your hardware might fail some day. If you chose to reinstall the Filmora software, it might detect the hardware changes and put up a requester saying you must upgrade the software to continue using it, and for you to pay for a new license. It's certainly not going to be the lifetime license. Granted, since you switched to the other editing software, so this might not bother you that much, if at all. It will, however, be an issue for any other users of the Filmora software, and one that they should be aware of. I'm not sure what capability the Filmora programming team has, regarding detection of crucial system components, or if they even scan for such changes. I'm just putting this out there. Nothing lasts forever, if a crucial hardware part needs to be replaced, it could potentially cause issues with installing Filmora software.

Or you do it the Adobe-way: Lightroom 6 was the last "pepertual" license. Which is ok for me since it works just fine on Win10 and reads all my cameras RAW-files... until I had to reinstall from the original DVD. After that the software recommends to update from version 6.0 to 6.14, but the builtin update-checker doesn't work any more and v6.14 is nowhere to be found on Adobes website. The support recommends upgrading to a LrCC subscription, of course. I got the installer from a collegue, but lesson learned. Save all those precious MSIs for future use. storage is cheap.

You should reach out to DaVinci or another competitor and see if they would do a “competitor upgrade” promo where for the price of the Filmora “upgrade” you can trade to a license of their product. Would be a ton of goodwill for that company and a nice comeuppance for Filmora.

I'm curious what a lawyer's take on this would be as far as a class action. Typically in these situations, a company just stops giving out lifetime keys and grandfathers the OGs that were early adopters that allowed them to get where they are today. My main thing with Filmora was that even though it lacked lots of technical features, it was adding them based on popularity AND it has really good UI. Filmora WAS the plucky underdog for creators. Unfortunately these changes make me question if they've had leadership changes and if there's spyware/metadata being sold if they're this hellbent on getting money out of it's long time customers. I thought they made money on us buying packs and modules? I already dropped Photoshop for Affinity and as I mentioned before, I picked up a Resolve license. Time to tinker.

I'm guessing that when you installed one of the later "upgrades", you were forced to agree to the new EULA - with the new terms - to use the new version. If so, then you have no legal recourse to sue.
