Tax Residency: U.S. Resident vs. Nonresident❓
Now a question we are often asked by our clients is am I considered a U.S. resident or nonresident for U.S. tax purposes.
The first thing to understand is how tax residency applies to U.S. taxes.
The Internal Revenue Code is the governing federal law of the United States that sets out the rules on U.S. taxes.
U.S. residents are taxed on their worldwide income.
In contrast, nonresidents are taxed on two types of income:
1️⃣ income that is considered “effectively connected to a U.S. trade or business” also known as ECI and
2️⃣ “fixed, determinable, annual and periodic income” from U.S. sources also known as FDAP.

As a nonresident, your business is generally not considered to be engaged in a trade or business within the U.S. if it meets the following:
1️⃣ Has no permanent establishment
2️⃣ Has no employees in the U.S.
3️⃣ Has no dependent agents in the U.S.
4️⃣ All your services or labor are performed from outside the U.S. and
5️⃣ No business activity "in the U.S." that is considerable, continuous, and regular.

Can I hire one employee part time instead of full time for my company in usa……….or is it important to hire a full time manager

Hi there. As we explain in this video, you cannot have any U.S. employees as well as meet other conditions, if you want to start a tax-free U.S. LLC. If you want to hire a part-time or full-time U.S. employee, then your U.S. LLC would be subject to U.S. tax. Please note that I stated a "U.S. employee". You can hire a manager from outside the U.S. and the U.S. LLC would need to pay the manager as a foreign employee or foreign independent contractor and in this scenario may not be subject to U.S. tax. @@Subhanlaw Thank you for your answers…..I want to hire a person and I’m ready to pay taxes but I was just wondering whether I can hire an employee part time instead of full time….cause I can’t be self employed in my own company due to my visa (f-1) status but I can hire someone to manage it for me…..so hiring someone partime would be more financially beneficial for me.

I'd recommend booking a call with me to discuss your options. Owning a U.S. LLC on F-1 status, you'll need to consider operating agreement provisions on management and immigration compliance, hiring considerations such as whether to employ the manager as an employee or independent contractor, tax considerations, etc. Hiring someone either as a part-time or full-time employee requires considerations on labor and immigration law, payroll, and tax, etc. Hiring a manager as an employee is not always the best choice. You will also want to consider if hiring the manager as an independent contractor is better under your specific circumstances. Sir i want to close my llc permanently. Sir please tell me (BOI) is mandatory for me to submit (BOI) before closing llc permanently or not. Sir i am from India and i am a owner of a non usa resident llc in the State of NH. Sir please tell me what to do.

If you formed your NH LLC prior to Jan 1, 2024, then you can dissolve the NH LLC prior to Dec 31st, 2024, and you would not be subject to the BOI filing requirement with FinCEN. We also recommend that you send a letter to the IRS with your EIN stating that the LLC was dissolved so that the federal government is also notified of the dissolution, so that your EIN won’t get cross referenced with FinCEN. Please note that if you have been operating in 2024, then you may have a tax filing requirement for 2024 which would be filed in 2025. @@Subhanlaw I am a citizen of India. I opened my non-USA resident LLC through myusacorpration, and it has been approximately 9 months since its formation. I established my LLC for Amazon e-commerce, and the address of India is mentioned on my LLC. So far, I haven't registered my LLC business on Amazon, not have I engaged in any business transactions. I haven't earned any dollars from my LLC business, and I haven't created a business bank account. Furthermore, I haven't filed any returns because I haven't earned a single dollar or conducted any transactions from my business. In essence, I've only opened the LLC and haven't done anything else. Sir, now I want to close my LLC because I don't need it. Do I need to submit (BOI) before closing my LLC, or will my LLC be closed without (BOI) submission? Sir, please explain in detail whether I might face any issues in the future if I close my LLC and whether there could be any penalties. Sir, I want to permanently close my LLC. Could you please provide step-by-step guidance on what I need to do? Your assistance would be greatly appreciated.

I want to start a shoe business in the US (New Jersey) as a Dutch citizen. The business is basically buying shoes online mainly from Nike and then reselling them on platforms for a profit. Is this possible if I only have around 5-10k capital? If so what are all the steps? Will I be able to get a resellers permit?

Generally, you can resell any lawful purchased good and you can also identify the product by its brand name. You cannot suggest that you are authorized by Nike or are an authorized distributor, etc. We can help you with starting a U.S. LLC and obtaining a reseller's permit. Please note if purchasing directly from Nike Stores that their "terms of sale" state that buying for purposes of reselling is prohibited. @@Subhanlaw I tried selling two products on ebay and ebay told us we had a 600 dollar sale limit. But nike shoes get resold everywhere and nobody has faced a problem yet for reselling nike shoes on platforms. How much will it cost me to obtain a resellers permit through you guys or if I try to obtain it by myself?

Please note that each ecommerce platform has its own terms and conditions. Ebay places "selling limits," sometimes called selling allowances, on new sellers to protect its consumers. Google "Ebay selling limits" and you'll see Ebay's selling limits terms and how to request an increase in selling limits. I'd also recommend taking a look at StockX and Flightclub as alternative places to resell shoes. You may also consider creating your own website on Shopify to resell shoes. Also, Nike has brough actions against resellers. As I stated, Nike's "terms of sale" apply to purchases through its corporate owned Nike Stores. Buying from an authorized retailer may not include the same "terms of sale". For example, The Finish Line, Inc. does not have a provision in its terms of sale that prohibits reselling of products including Nike products purchased from its stores. In addition, the cost of a reseller's permit depends on the state or states in which you need a reseller's permit. Thank you for your question. Unfortunately, no. The information in the video applies to foreign nationals who are considered "non-residents" under the U.S. tax code and who are managing their U.S. business from outside the U.S. A person on H-1B or H-4 is within the U.S. and after residing in the U.S. for 183 days aka the "substantial presence test" then a person on H-1B or H-4 or any other nonimmigrant status is considered a "U.S. resident" for tax purposes.
